The Seller agrees to extend credit to the Buyer on the following terms:

50% Deposit/Net 10 Term for remaining balance:
-50% Deposit - to be paid prior to shoot date.
-Net 10 of remaining balance- to be paid within 10 days of the invoice date.

2. INVOICING:
The Seller will issue invoices for goods or services provided to the Buyer.
Invoices will include a detailed breakdown of charges, the total amount due, and the payment due date.

3. PAYMENT:
-The Buyer agrees to make payments in full within the specified Net Payment Terms.

-Payments shall be made by ACH or check to the Seller's designated bank account or address as indicated on the invoice.

-OHD Studios is not responsible for delays due to banking transaction times or mail delays.

-Invoices paid by credit card past the original invoiced date will be subject to a 3% credit card fee.

-50% of the invoice is due prior to the shoot date specified on the quote.

4. CREW AGREEMENT:
-Crew rates are based on 10 hours days (Portal to Portal; Portal: OHD Studios 350 W Johnstown Rd. Columbus OH 43230)

-Shoots exceeding 10 hrs will be billed at a rate of 1.5X; Shoots exceeding 12 hrs will be billed at a rate of 2X.

-Cancellation of a crewed shoot needs to be submitted at least 24-48 hours prior to shoot start date. A 48 hour cancellation will be billed for 50% of the quote total and a 24 hour cancellation will be billed for 100% of the quote total.

-A 30 minute working lunch for crew hired is required for 10 hour shoot days.

5. LATE PAYMENTS/DEFAULT PAYMENT:
In the event that payment is not received by the due date, the Buyer agrees to pay a late fee of 3% of the compounded outstanding balance charged monthly.

If the Buyer defaults on payment, is past due or breaches any terms of this Agreement, the Seller reserves the right to terminate or reduce credit terms and demand immediate payment.

6. GOVERNING LAW:
This Agreement shall be governed by and construed in accordance with the laws of Ohio.

7. AMENDMENTS:
Any amendments or modifications to this Agreement must be made in writing and signed by both parties.

8. TERMINATION:
Either party may terminate this Agreement with written notice if the other party breaches any material term or condition of this Agreement. Any outstanding balance is due immediately.

9. ACCEPTANCE:
By signing below, the parties acknowledge that they have read, understood, and agreed to the terms and conditions of this Net Terms Agreement.
